By accessing or using HiCLI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms constitute a legally binding agreement between you and HiCLI regarding your use of the Service.

2. Description of Service

HiCLI provides:

• A transparent proxy platform for AI coding assistants (Agent CLI)
• P2P connectivity between your devices
• Mobile application for remote terminal control
• Cloud-based device discovery and authentication

3. Account Registration

To use certain features of the Service, you must register an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Not share your account with others

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble the Service

5. Subscription and Payments

Pricing

Current pricing is displayed on our pricing page. We reserve the right to modify pricing with 30 days notice.

Billing

• Subscriptions are billed monthly or annually in advance
• All payments are processed securely via LemonSqueezy
• Prices are displayed in USD unless otherwise noted

Refunds

• Free tier: No payment required
• Paid plans: 14-day money-back guarantee for first-time subscribers
• Annual plans: Prorated refunds available within 30 days

Cancellation

You may cancel your subscription at any time. Your access will continue until the end of the current billing period.

6. Intellectual Property

Our Rights

The Service, including its original content, features, and functionality, is owned by HiCLI and is protected by international copyright, trademark, and other intellectual property laws.

Your Rights

You retain all rights to:

• Your code and content
• Your AI conversations
• Your configuration files

7. Open Source Components

HiCLI includes open source components. These components are governed by their respective licenses:

• hicli-rs: MIT License
• hidaemon-rs: MIT License
• hiapp: MIT License
• hicloud: MIT License

8. Service Availability

Uptime

We strive for 99.9% uptime for cloud services. However, we do not guarantee uninterrupted access.

Maintenance

We may perform scheduled maintenance with advance notice when possible.

Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• The results of using the Service will meet your requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HiCLI SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Service

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless HiCLI and its affiliates from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms
• Conduct we determine to be harmful to the Service or other users
• Extended periods of inactivity

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and associated data
• No refunds will be provided for violations

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Binding arbitration if mediation fails

The governing law shall be the laws of the jurisdiction in which HiCLI is registered.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via:

• Email to your registered address
• Notice on our website
• In-app notification

Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
